Adhyyan Books Associate Programme — Terms and Conditions

By applying to and participating in the Adhyyan Books Associate Programme ("the Programme"), operated by Adhyyan Books International Private Limited, together with any of its subsidiaries, affiliates, brands, divisions, or successor entities (collectively, "the Company", "we", "us"), you ("the Associate", "you") agree to the following terms in full.

1. Nature of the Programme

The Programme is a referral arrangement. It does not create an employment, agency, partnership, or exclusive commercial relationship between you and the Company. Participation is voluntary and free, and either party may end the arrangement at any time as set out in Section 9.

2. Eligibility

The Company reserves the right to accept or reject any application to the Programme at its sole discretion, without being required to give a reason. Approval is not automatic upon submission of the application form.

3. What Counts as a Valid Referral

A referral is only valid and eligible for commission if all of the following are true:

  • The referred individual or organisation was not, at the time of referral, an existing client, lead, or contact already known to the Company through its own records.
  • The referral is logged with the Company, with the referred person's name and contact details, before or at the point the referred person first makes contact with the Company.
  • The Company's internal records shall be conclusive in determining the origin, timing, and validity of any referral.

4. Duplicate Referrals

Where multiple Associates claim the same referral, commission shall only be payable to the Associate whose valid referral was first received and accepted by the Company, as determined by the Company's records. The Company's determination shall be final.

5. The 90-Day Conversion Window

A referral is only eligible for commission if the referred client signs a service agreement with the Company and their payment is received in full within 90 days of the referral being logged with the Company.

If the referred client has not signed and paid within this 90-day window, the referral automatically expires and becomes ineligible for commission — even if that same client goes on to purchase a package from the Company at a later date, whether independently or through further contact initiated by the Company. Once a referral expires under this clause, you will not be entitled to any commission relating to that client under any circumstances, regardless of when or how they eventually convert.

6. Commission

  • Commission is 20% of the base package fee (excluding taxes, discounts, and third-party costs) for each valid, successfully converted referral, as set out on the Programme page.
  • Commission becomes payable only after the Company has received cleared funds from the referred client. Pending, bounced, reversed, or disputed payments do not qualify.
  • The Company reserves the right to change commission rates, package pricing, or the structure of the Programme at any time, at its sole discretion. Changes will apply to referrals logged after the change takes effect; referrals already logged and within their 90-day window at the time of a change will be honoured at the rate applicable when they were logged.
  • Commission is not payable on any package fee that is later refunded, cancelled, disputed, or charged back by the client, in full or in part.
  • The Company's determination of whether a referral is valid, successful, and commission-eligible is final.

7. Payment

  • Eligible commissions are calculated monthly and paid by the 10th of the following month, via bank transfer or UPI to the account details you provide.
  • All commissions are calculated and paid in AED. Any currency conversion or transfer charges incurred on your end are your responsibility.
  • You are solely responsible for declaring this income and paying any applicable tax in your jurisdiction. The Company does not withhold tax on your behalf unless legally required to.
  • The Company reserves the right to withhold or reclaim any commission payment found to be the result of fraudulent, misleading, or ineligible referral activity, including after payment has already been made.

8. Associate Conduct

You agree that you will:

  • Only refer genuine prospective clients with a real interest in the Company's services.
  • Not make any representation, promise, or guarantee regarding pricing, timelines, refunds, or outcomes on the Company's behalf beyond what is published in the Company's official materials.
  • Not engage in spam, misleading advertising, or any conduct that could damage the Company's name or reputation.
  • Not refer yourself, or any immediate family member residing in your household, for the purpose of earning commission on your own or their purchase.
  • Not misrepresent your relationship with the Company, including implying you are an employee, official representative, or decision-maker of the Company.
  • Not bid on the Company's trademarks or brand names in paid search advertising, or create websites or social media accounts that impersonate or appear to be officially operated by the Company.

"Fraudulent, misleading, or ineligible referral activity" includes, without limitation, self-referrals, duplicate accounts, fake enquiries, artificially generated leads, false identities, or any attempt to manipulate the Programme.

Breach of any part of this section may result in immediate termination from the Programme and forfeiture of any pending, unpaid commissions, at the Company's sole discretion.

9. Use of Brand Name and Materials

You may refer to the Company and use its name, logo, and Programme materials solely for the purpose of promoting the Programme, and only in a manner consistent with any brand guidelines provided. This permission is non-exclusive, non-transferable, and may be revoked by the Company at any time. The Company may require you to remove or amend any promotional material at any time, and you agree to do so promptly. Upon termination of your participation in the Programme for any reason, this permission ends immediately and you must cease all use of the Company's name, logo, and materials.

10. Termination

  • You may stop participating in the Programme at any time by notifying the Company.
  • The Company may suspend or terminate participation in the Programme at its sole discretion.
  • Upon termination, any referral not yet converted, or outside its 90-day window at the time of termination, becomes void and no commission will be payable on it, regardless of any conversion after your removal from the Programme.
  • The Company's right to withhold commission under Sections 7 and 8 survives termination.

11. Confidentiality

You agree to keep confidential any non-public information shared with you by the Company in connection with the Programme, including pricing structures, client information, and internal processes, both during and after your participation in the Programme. You must not retain, copy, download, or disclose confidential information except as necessary for your participation in the Programme.

12. Intellectual Property

Nothing in these Terms transfers ownership of the Company's trademarks, copyrights, logos, content, or other intellectual property. All rights remain with the Company.

13. No Guarantee of Earnings

The Company makes no guarantee, representation, or warranty regarding the number of referrals you will make, whether any referral will convert, or the amount of commission (if any) you will earn. Any figures, examples, or illustrations shown on the Programme page are for illustrative purposes only and do not constitute a promise of earnings.

14. Limitation of Liability

The Company's total liability to you under these Terms, in any circumstance, is limited to any commission legitimately due and unpaid at the time of the claim. The Company is not liable for any indirect, incidental, or consequential loss arising from your participation in the Programme.

15. Changes to These Terms

The Company may update these Terms at any time. Continued participation in the Programme after changes are published constitutes your acceptance of the updated Terms. It is your responsibility to review this page periodically.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between the parties relating to the Programme and supersede all prior discussions or understandings.

18. Governing Law

These Terms are governed by the laws of India, and any dispute arising under them shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana, India.

19. Acceptance

By checking "I agree to the Terms and Conditions" on the application form, you confirm that you have read, understood, and agree to be bound by these Terms in full.
